Marc Feller serves as a senior adviser in the firm’s public finance practice, where he draws on more than 45 years at Dilworth and over 50 years in practice to support colleagues and clients on complex bond, tax and infrastructure matters. He is valued for his ability to simplify difficult issues, provide clear direction and help teams weigh risks with confidence. Marc brings deep institutional knowledge and a calm, solutions-oriented mindset to every conversation.

In his mentoring role, Marc is the person colleagues call when they need insight on structuring a challenging transaction, resolving a technical tax question, or navigating a sensitive client issue. Representative Experience

  • Represented the City of Allentown, Pennsylvania in the development of a Neighborhood Improvement Zone and financing of a sports arena and convention facility and represented underwriters in subsequent related economic development projects within the Zone. Also represented the City in the long-term lease of its water and sewer systems, generating more than $212 million for the City.
  • Represented municipalities across Pennsylvania, including the City of McKeesport, Cheltenham Township, Limerick Township, Springfield Township in Montgomery County and Tredyffrin Township, in the sale of their sewer systems.
  • Represented Montgomery County, Pennsylvania, in the development, financing and refinancing of a municipal waste-to-energy facility and structured the legal framework for waste capture. The project included various phases of financing and structuring spanning the period from 1984 to 2012.
  • Served as Bond Counsel in long-term lease financings of parking assets in Harrisburg and Scranton.
  • Developed a subordinate bond structure for the Pennsylvania Turnpike to fund state roads and public transportation projects under Acts 44 and 89.
  • Served as Bond Counsel Disclosure and Underwriters Counsel in Pennsylvania Turnpike Commission toll revenue, oil franchise tax and registration fee financings.
  • Served as Bond Counsel to major healthcare and educational organizations and obligated groups in 501(c)(3) financings and refinancings, including Temple University Health System, Neumann University, and the nonprofit student housing organization for West Chester University.
  • Served as borrower’s counsel to a major port owner in Southern New Jersey for the acquisition of a marine port facility in a complex workout scenario.
  • Represented issuers in restructurings of defaulted debt, including through Chapter 11 proceedings and in pre-bankruptcy forbearance arrangements.
  • Represented issuers in IRS examinations of municipal bonds involving arbitrage and rebate issues, GIC analysis, private use and related matters.
  • Served as special counsel to an underwriter in ongoing owner refinancings of VA, Social Security, and other federally leased facilities.
