Dilworth Paxson is seeking an experienced Corporate & Commercial Real Estate Paralegal to support attorneys in a broad range of transactional matters involving corporate governance, business transactions, and commercial real estate deals. This role will play a key part in managing transactions from initial due diligence through closing and post-closing activities while ensuring exceptional client service and attention to detail.  This position will be located in our Philadelphia office.

The ideal candidate is highly organized, proactive, and experienced in handling multiple transactions simultaneously in a fast-paced law firm environment.

Essential Duties and Responsibilities

  • Assist attorneys with corporate transactions, commercial real estate transactions, and related financing matters from inception through closing
  • Prepare and file business formation documents for corporations, LLCs, partnerships, and other entities, including foreign registrations and annual filings
  • Maintain corporate records, entity management databases, minute books, and organizational documents
  • Draft corporate documents such as resolutions, consents, operating agreements, bylaws, and meeting minutes
  • Assist with due diligence review for mergers, acquisitions, financings, commercial leasing, acquisitions, sales, and development transactions
  • Review and organize title commitments, surveys, zoning reports, lien searches, and other due diligence materials
  • Coordinate UCC searches and filings
  • Prepare closing checklists and manage transaction timelines to ensure all deadlines are met
  • Coordinate execution of legal documents with attorneys, clients, lenders, title companies, and third parties
  • Assist with preparation of closing documents for business and real estate transactions
  • Coordinate recording of deeds, mortgages, and other real estate-related documents
  • Prepare closing binders and manage post-closing deliverables
  • Maintain organized electronic and physical transaction files
  • Communicate regularly with attorneys, clients, lenders, title companies, and outside vendors regarding transaction status and documentation

Qualifications:

  • Bachelor’s degree and/or Paralegal Certificate preferred
  • Minimum of 5+ years of transactional paralegal experience in corporate and/or commercial real estate law in NJ and PA required.
  • Prior law firm experience strongly preferred
  • Knowledge of corporate entity filings, governance documentation, and transactional due diligence processes
  • Experience with commercial real estate transactions, title review, and closings
  • Familiarity with UCC filings, entity searches, and corporate compliance filings
  • Strong organizational and project management skills
  • Excellent written and verbal communication skills
  • Ability to manage multiple priorities in a deadline-driven environment
  • Proficiency with Microsoft Office and legal document management systems
