Overview

In serving as tax counsel and bond counsel, as well as counsel to issuers, borrowers, municipal governments, and other public bodies in financing and P3 transactions, Chris Compton advises governments, bankers, non-profits, and a variety of for-profit entities. More specifically, these transactions include transportation and infrastructure financing (including P3 issues and project financing), hospital and other health care, education, and other 501(c)(3) financings, solid waste, general obligation bonds, and economic development project financings. He has worked on numerous derivative transactions, including the tax structuring necessary for integration and termination. More recently in his career, which spans over 25 years in public finance, Chris has represented various private clients in economic development.

Mr. Compton also maintains outside counsel engagements with minority and women-owned public finance law firms to advise on federal tax matters of municipal obligations. As outside counsel, Mr. Compton’s practice focuses on the federal tax law analysis of municipal debt issuances, with a particular emphasis on complex general obligations, educational and healthcare projects, economic development projects, development districts, and 501(c)(3) financings.

Representative Experience

  • Served as bond counsel and special counsel to the New York Transportation Development Corporation in the P3 renovation and privatization of the 27 service areas on the New York State Thruway, a 570-mile tollway that is the fifth busiest in the nation. This transaction was named the Bond Buyer 2021 Public-Private Partnership (P3) Financing Deal of the Year.
  • Served as bond counsel for over $4 billion in bond financed sale-leaseback economic development projects.
  • Served as bond and borrower’s counsel in connection with the issuance of numerous charter school financings.
  • Served as co-bond counsel to the Philadelphia Energy Authority in connection with the issuance of $72 million of City Service Agreement Revenue Bonds (Philadelphia Street Lighting Project) Series A of 2023 (Tax-Exempt) (Sustainability Bonds) and $10 million of City Service Agreement Revenue Bonds (Philadelphia Street Lighting Project) Series B of 2023 (Federally Taxable) (Sustainability Bonds).
