Highlights among Mr. Portnoy’s background are infrastructure development and finance, including his representation of the developers of public/private projects throughout the U.S., and extensive work regarding privatization of facilities on military bases.

Mr. Portnoy also has extensive experience with corporate and transactional matters as well as those involving intellectual property. This practice brings together experience in corporate, securities, tax, copyright, trademark and other intellectual property rights. He assists for-profit entities in assessing and improving shareholder value including, “going private” transactions, and not-for profits in corporate governance matters and how to best utilizing their assets. He regularly represents educational institutions at all levels.

Mr. Portnoy also has extensive experience in power purchase agreements with US and foreign energy companies and in negotiating the myriad of agreements used for the financing and development of alternative energy generation projects.

Representative Experience

  • Represented developer (privatizer) of housing on Boiling Air Force Base. This was part of a three base $900,000,000 project in which our client ground leased the ground, had a quit claim title to improvements and is in process of constructing 800+ homes, and associated facilities for Officers and airmen.
  • Hired as an advisor to the Naval Facilities Engineering Command (the real estate arm of the US Navy) to work with and advise its professionals how to structure public private joint ventures and to otherwise negotiate "commercial" transactions when disposing of excess Naval facilities
  • Represented developers of mostly office and retail facilities (but some mixed use projects) at major locations in the Washington DC metro area. Each development involved land owned by the Washington Metropolitan Area Transportation Authority (Metro) and involved a ground lease and structuring participation by Metro in aspects of the net or gross profits of the project.
  • Represented developers in Atlanta (with MARTA as the public agency) and in Oakland (with BART as the public agency)
  • Structured an EUL (enhanced use lease) between a nursing home developer and the US Department of Veterans Affairs
  • Structured EUL with US Air Force for commercial office buildings to be leased back by US Air Force.
  • Wrote legislation and worked with the District of Columbia City Council to have same passed resulting in material savings to clients.
