Partner, Corporate Department and Chair, Securities Group; Banking and Financial Services Group. Mr. Laub's practice involves representing issuers and stockholders in public and private offerings of securities; registration and reporting with the Securities and Exchange Commission and other securities laws compliance issues; mergers and acquisitions (both public and private transactions); and corporate governance matters for public companies and their officers and directors including Sarbanes-Oxley Act compliance.

In addition: He represents clients that include seasoned public companies and private companies, as well as their shareholders. Mr. Laub was also named a Pennsylvania Super Lawyer Rising Star in 2007.

REPRESENTATIVE MATTERS:

  • Represented local investors in the acquisition of the publisher of the major Philadelphia daily newspapers.
  • Represented a publicly-held bank in its reorganization into a bank holding company and concurrent acquisition of another publicly-held bank holding company.
  • Represented a public company in refinancing senior debt through a combination of senior secured notes and a senior secured revolving facility.
  • Represented a major stockholder of a public REIT in registered sales of over $900 million of stock.
  • Represented the selling shareholders in the sale of a customs broker to a private equity fund.
